Terms of Use

Website and Borrower Portal

Effective Date: September 1, 2026

These Terms of Use govern access to and use of jgormackandsons.com, The Private Client borrower portal, and related online services made available by J.G. Romack and Sons Inc., doing business as The Private Client ("JGRS," "The Private Client," "we," "us," or "our").

Please read these Terms of Use carefully. By creating an account, accessing the borrower portal, submitting information through our online services, or otherwise using the website or portal, you acknowledge that you have read and agree to these Terms of Use. If you do not agree, do not use the website or borrower portal.

These Terms of Use supplement, but do not replace, the JGRS Privacy Policy and any separate financial privacy notice provided when applicable, electronic-consent agreement, credit authorization, mortgage disclosures, lender documents, or other agreements applicable to a mortgage inquiry, application, or transaction. If a transaction-specific document conflicts with these Terms of Use, the transaction-specific document controls for that subject.

1. Mortgage-Broker Services

JGRS is a Florida-licensed mortgage broker. JGRS assists clients with evaluating potential mortgage options, preparing and processing mortgage applications, communicating with lenders and transaction providers, and coordinating mortgage-related services.

JGRS is not the funding lender unless expressly identified otherwise in a transaction-specific disclosure. A borrower-selected or borrower-authorized lender makes the final credit, underwriting, approval, pricing, and funding decisions and may impose its own requirements, terms, conditions, privacy practices, and transaction documents.

Use of the website or borrower portal does not create a fiduciary relationship, attorney-client relationship, tax-advisory relationship, accounting relationship, investment-advisory relationship, or financial-planning relationship.

JGRS does not provide legal, tax, accounting, investment, or real-estate advice. Clients should consult an appropriately licensed professional regarding those matters.

2. Eligibility and Authority

The website and borrower portal are intended for individuals who are at least 18 years old and legally capable of entering into agreements.

You may provide information only for yourself, as an authorized co-borrower, or as a legally authorized representative whose authority has been reviewed and accepted for the requested purpose.

You may not create an account, submit information, upload documents, or act for another person without lawful authority.

An agent acting under a power of attorney must comply with JGRS verification and approval requirements and, when applicable, the requirements of the selected lender. The agent must use separately assigned access credentials and may not use the borrower's credentials.

3. Account Registration and Security

You agree to provide accurate, current, and complete account information and to update that information when necessary.

You are responsible for:

  • Maintaining the confidentiality of your username, password, authentication method, and account-access information

  • Using a unique and reasonably secure password

  • Preventing unauthorized use of your account, device, and email address

  • Signing out of the portal when using a shared or public device

  • Promptly notifying JGRS of suspected unauthorized access, credential compromise, or account misuse

You may not share portal credentials with a real-estate agent, family member, assistant, power-of-attorney agent, or any other person.

JGRS may require identity verification, additional authentication, or separate authorized-user access when appropriate.

JGRS may suspend access or require credential replacement if it reasonably believes that an account or credential has been compromised or misused.

4. Accuracy and Completeness of Information

You are responsible for the accuracy, completeness, and authenticity of information and documents submitted through the website, borrower portal, email, or another approved method.

You agree not to knowingly submit false, misleading, altered, incomplete, fraudulent, or unauthorized information or documents.

You agree to promptly inform JGRS of any material change affecting your application or transaction, including changes in:

  • Employment

  • Income

  • Assets

  • Liabilities

  • Credit

  • Occupancy

  • Property condition or ownership

  • Insurance

  • Marital status when relevant

  • Intended use of loan proceeds

  • Other information previously submitted in connection with the transaction

JGRS and the selected lender may rely on information you provide and may request verification, clarification, updated documents, original documents, certified copies, or information from authorized third-party sources.

5. No Commitment to Lend or Guarantee of Approval

Creating an account, submitting an inquiry, uploading documents, completing an application, receiving a prequalification or preapproval communication, receiving a Loan Estimate, or discussing potential loan terms does not guarantee loan approval, funding, a particular interest rate, or particular loan terms.

Unless stated in a valid written agreement issued by an authorized party, information displayed or communicated through the website or borrower portal is not:

  • A commitment to lend

  • A guarantee of approval or funding

  • A guarantee that a particular loan product remains available

  • A rate-lock agreement

  • A waiver of underwriting, verification, property, title, insurance, appraisal, compliance, or closing requirements

Loan approval and funding remain subject to lender review, underwriting, verification, acceptable collateral, required documentation, applicable law, and satisfaction of all applicable conditions.

6. Rates, Pricing, Calculators, and Estimates

Mortgage rates, pricing, fees, payments, closing costs, property taxes, insurance, association dues, and other amounts may change and may depend on factors including:

  • Credit profile

  • Loan purpose

  • Property type

  • Occupancy

  • Loan amount

  • Loan-to-value ratio

  • Documentation

  • Market conditions

  • Lender requirements

  • The time at which pricing is confirmed

Rates or pricing displayed or discussed are not locked unless confirmed through a separate written rate-lock agreement or confirmation issued by an authorized party.

Calculators, scenarios, comparisons, and informal estimates are provided for general informational purposes. They may be based on assumptions, estimates, or incomplete information and are not a Loan Estimate, Closing Disclosure, approval, commitment, or guarantee.

Actual rates, payments, fees, and closing costs may differ from estimates. Your actual rate, payment, and costs could be higher. Get an official Loan Estimate before choosing a loan.

7. Applications, Disclosures, and Loan Estimates

Submitting information through the website or borrower portal may constitute a mortgage inquiry or application, depending on the information provided and applicable law.

Required disclosures, notices, authorizations, and lender documents will be provided separately when applicable. You are responsible for reviewing those documents promptly and notifying JGRS of incorrect or incomplete information.

A Loan Estimate describes terms the lender expects to offer based on the information available at the time it is issued. It is not final loan approval and does not obligate you to proceed with that lender.

Final terms may be affected by permitted changes, updated information, underwriting, rate-lock status, property-related findings, lender requirements, and satisfaction of applicable conditions.

8. Electronic Records and Signatures

The website and borrower portal may permit electronic delivery, review, acknowledgment, and signature of documents.

Consent to receive legally required records electronically is governed by the separate electronic-consent agreement presented through the applicable platform.

That agreement explains:

  • Hardware and software requirements

  • How to request paper copies

  • How to update contact information

  • How to withdraw electronic consent

  • The effect of withdrawing electronic consent

These Terms of Use do not require a consumer to consent to electronic delivery when applicable law provides a right to receive information in another form.

Withdrawal of electronic consent may require use of another permitted delivery method and may delay electronic processing.

9. Privacy and Sensitive Information

Collection, use, retention, protection, and disclosure of personal and nonpublic personal information are governed by the JGRS Privacy Policy and any separate financial privacy notice provided when applicable, together with applicable transaction documents and authorizations.

Sensitive documents should be submitted only through the secure borrower portal or another secure method specifically approved by JGRS.

Do not send Social Security numbers, tax returns, bank statements, identification documents, account credentials, or similar sensitive information through ordinary email or text message unless specifically directed to an approved secure method.

10. Permitted Use

You may use the website and borrower portal only for lawful personal mortgage-related purposes and in accordance with these Terms of Use.

You may not:

  • Access or attempt to access another person's account, information, or documents without authorization

  • Share credentials or bypass authentication, access controls, or security measures

  • Submit malicious code, harmful files, automated requests, or content intended to disrupt or compromise systems

  • Scrape, copy, harvest, probe, scan, test, reverse engineer, or interfere with the website, portal, or related systems except where expressly permitted by law

  • Use the services for fraud, identity theft, misrepresentation, unlawful discrimination, harassment, or another unlawful purpose

  • Upload material that infringes another person's rights or that you are not authorized to provide

  • Misrepresent your identity, authority, financial circumstances, property information, occupancy, employment, income, assets, liabilities, or transaction purpose

  • Use the website or portal to provide unauthorized access to another person

  • Use information obtained through the website or portal for an unrelated commercial or marketing purpose

JGRS may restrict or suspend access when reasonably necessary to protect a client, investigate suspected misuse, preserve evidence, comply with law, maintain security, or protect the website, borrower portal, or related systems.

11. Third-Party Platforms and Services

The website and borrower portal may use or link to services provided by ARIVE, lenders, credit providers, document and electronic-signature providers, automated underwriting systems, appraisal providers, title and settlement providers, insurers, government agencies, and other transaction participants.

Third-party services may be governed by their own terms, privacy notices, availability, and security practices.

A link, integration, or transmission necessary for a mortgage transaction does not mean that JGRS controls or endorses every statement, product, practice, or service of that third party.

JGRS does not control the independent operations, content, availability, or security practices of third-party services. Nothing in this section limits JGRS's responsibility for its own acts or omissions, vendor-management obligations, information-security duties, or other obligations imposed by applicable law.

12. Communications

JGRS may communicate with you regarding:

  • An inquiry or account

  • A mortgage application or transaction

  • A requested service

  • Security or fraud-prevention matters

  • A legal or regulatory requirement

  • A post-closing matter directly related to the transaction

Communications may occur through the secure portal, email, telephone, postal mail, or text message as separately authorized and appropriate.

When an individual separately and affirmatively consents to transactional text messages, JGRS may send messages regarding a mortgage inquiry or application, requested information or documents, appointments, deadlines, security, and loan status. Message frequency varies. Message and data rates may apply. Reply STOP to opt out or HELP for assistance. Consent to text messaging is not a condition of applying for or obtaining mortgage services. Carriers are not liable for delayed or undelivered messages.

The SMS consent described in these Terms applies only to first-party, non-promotional communications concerning a mortgage inquiry or application initiated directly with The Private Client. It does not authorize loan advertisements, rate promotions, invitations to apply, purchased-lead communications, third-party loan solicitations, or unrelated marketing.

Use of the website or borrower portal is not consent to receive unrelated promotional communications.

13. Intellectual Property

The website, branding, logos, text, design, software interfaces, and original materials provided by JGRS are owned by or licensed to JGRS and are protected by applicable intellectual-property laws.

You may view, download, or print materials made available to you for your personal mortgage transaction.

You may not reproduce, distribute, modify, sell, publish, publicly display, or commercially exploit JGRS materials without written permission, except as permitted by law.

Documents and information you lawfully submit remain subject to your rights and the rights of their lawful owners.

You authorize JGRS to use, copy, process, store, and transmit submitted information only as reasonably necessary to provide the requested mortgage services, consistent with the Privacy Policy, your authorizations, and applicable law.

14. Availability and System Operation

JGRS seeks to maintain reliable and appropriately safeguarded access but does not guarantee that the website or borrower portal will always be uninterrupted, error-free, available at a particular time, or free from every possible security threat.

Access may be limited by:

  • Maintenance or updates

  • Internet or telecommunications failures

  • Third-party outages

  • Cybersecurity events

  • Emergencies

  • Legal or regulatory requirements

  • Circumstances beyond reasonable control

You remain responsible for monitoring transaction deadlines and promptly contacting JGRS if the portal is unavailable, a document cannot be uploaded, or an electronic communication is not received.

Submitting a document through the portal does not eliminate your responsibility to confirm that the document was successfully uploaded and received when confirmation is available.

15. Disclaimer of Warranties

To the extent permitted by law, the website, borrower portal, calculators, and general informational materials are provided on an "as available" basis.

JGRS does not warrant that general website content, portal content, estimates, or informal calculations will be complete, current, accurate, uninterrupted, or suitable for every person's circumstances.

This disclaimer does not limit obligations imposed on JGRS by applicable mortgage, consumer-protection, privacy, fair-lending, licensing, disclosure, or other law.

It also does not alter any express obligation contained in a transaction-specific agreement or disclosure.

16. Limitation of Responsibility

To the extent permitted by law, JGRS is not responsible for loss caused solely by:

  • A user's submission of false, inaccurate, incomplete, altered, or untimely information

  • A user's unauthorized disclosure or sharing of account credentials

  • Failure of a user's device, internet service, email provider, or software

  • A third-party service interruption outside JGRS's reasonable control

  • A user's failure to review communications, satisfy documented conditions, or notify JGRS of material changes

  • A user's failure to maintain the security of the user's email account, device, or authentication method

Nothing in these Terms of Use:

  • Excludes or limits liability that cannot lawfully be excluded or limited

  • Excuses failure to comply with applicable law

  • Waives a consumer right or remedy provided by law

  • Limits an obligation contained in a transaction-specific agreement or disclosure

17. Suspension and Termination of Access

You may stop using the website or borrower portal at any time.

Stopping use does not cancel obligations, authorizations, disclosures, or agreements already applicable to an existing mortgage transaction.

JGRS may suspend or terminate portal access when reasonably necessary because of:

  • Account compromise

  • Suspected fraud

  • Unlawful conduct

  • Misuse

  • Security risk

  • Inactivity

  • Completion or termination of the transaction

  • Platform requirements

  • Legal or regulatory obligations

Provisions concerning privacy, records, intellectual property, responsibility, governing law, and completed transactions survive termination to the extent applicable.

18. Governing Law

These Terms of Use are governed by applicable federal law and, to the extent state law applies, the laws of the State of Florida, without limiting any nonwaivable consumer-protection or other right provided by applicable law.

Any provision found to be invalid or unenforceable will be interpreted or modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in effect.

19. Changes to These Terms

JGRS may revise these Terms of Use to reflect changes in services, technology, security practices, vendors, legal requirements, or business operations.

The revised Terms of Use will be posted with an updated effective date. Material changes will be communicated or presented for acceptance when required by law.

Changes do not retroactively alter transaction-specific agreements unless permitted by law and agreed to when required.

Your continued use of the website or borrower portal after revised Terms of Use become effective may constitute acceptance to the extent permitted by law. When applicable law or the nature of a material change requires affirmative acceptance, JGRS will present the revised terms for acceptance.
